📜 BeMusic AI Commercial License Agreement

2. Eligibility and Definitions

2.1 "Qualifying Plan" — An active Pro or Studio subscription, or a grandfathered annual Lite subscription that remains active. Free, Creator, trial, and one-time credit plans do not include this commercial license.

2.2 "Licensed Output" — Eligible output in the Licensee's BeMusic AI account that is identified by a valid license certificate issued while a Qualifying Plan is active. The output may have been generated before the Licensee upgraded to a Qualifying Plan.

2.3 "Commercial Use" — Use in connection with monetized content, client work, advertising, distribution, sale, public performance, or another activity intended to produce economic benefit.

2.4 "Royalty-Free" — BeMusic AI does not charge recurring royalties for uses permitted by this Agreement. It does not mean that third-party rights cannot apply.

3. License Grant

3.1 Subject to this Agreement and applicable law, BeMusic AI grants the Licensee a perpetual, worldwide, royalty-free commercial-use license to the Licensed Output, to the extent BeMusic AI is authorized to grant those rights.

3.2 The Licensee may use, reproduce, modify, distribute, publicly perform, display, synchronize, and incorporate the Licensed Output into commercial projects, and may sublicense those rights as part of such projects.

3.3 Permitted uses include monetized social media, podcasts, advertising, film and television, games and software, client work, public performance, and digital or physical distribution.

3.4 The license remains valid for qualifying Licensed Output after the Qualifying Plan expires or is canceled, unless terminated for breach of this Agreement.

4. User Inputs and Third-Party Rights

4.1 The Licensee retains any rights they already hold in prompts, lyrics, audio, images, voices, and other material they provide.

4.2 The Licensee must have all rights, licenses, consents, and permissions required for material they upload or direct BeMusic AI to use.

4.3 This Agreement does not transfer or clear third-party copyrights, trademarks, publicity rights, voice rights, or other rights in user-provided or referenced material.

5. Copyright and Platform Claims

5.1 Copyright protection for AI-generated material varies by jurisdiction and depends on the circumstances. This license is not a promise that the Licensed Output is copyrightable or that the Licensee owns a copyright in it.

5.2 Similar or identical output may be generated for other users. BeMusic AI does not promise exclusivity.

5.3 BeMusic AI does not guarantee that a platform or third party will never issue a Content ID match, copyright claim, takedown request, distribution rejection, or similar action. The Licensee remains responsible for complying with applicable law and platform rules.

5.4 A license certificate confirms the BeMusic AI commercial-use license for the identified Licensed Output. It is not proof of copyright ownership or clearance of third-party material.

6. Restrictions and Termination

6.1 The Licensee may not use Licensed Output for illegal or harmful purposes or in violation of BeMusic AI's Terms of Service.

6.2 BeMusic AI may revoke this license for a material breach of this Agreement or the Terms of Service. After revocation, the Licensee must stop using the affected Licensed Output.

7. Disclaimers and Liability

7.1 Licensed Output is provided "as is." To the maximum extent permitted by law, BeMusic AI disclaims warranties of non-infringement, merchantability, fitness for a particular purpose, and acceptance by any platform or distributor.

7.2 The Licensee is responsible for reviewing the Licensed Output and for any use, publication, distribution, or claim arising from it.

8. Relationship to Other Terms

8.1 This Agreement supplements the BeMusic AI Terms of Service. If the terms conflict, the Terms of Service control unless this Agreement expressly states otherwise.

8.2 BeMusic AI may update this Agreement for future output. Material changes will be communicated through appropriate channels.

8.3 By downloading or using a license certificate, the Licensee accepts this Agreement.
